Red Pine Petroleum Ltd.: Red Pine Announces Definitive Agreement for Proposed Reverse Takeover

April 8, 2021 / Red Pine Petroleum Ltd. ( Red Pine or the Company ) is pleased to announce that it has entered into a definitive business combination agreement dated April 8, 2021 (the Business Combination Agreement ) with HB2 Origination, LLC ( Origination ), pursuant to which, among other things, Origination will complete a reverse take-over of Red Pine (the Proposed Transaction ) and the securityholders of Origination will hold substantially all of the outstanding securities of Red Pine following completion of the Proposed Transaction (the Resulting Issuer or Alpine ). The Resulting Issuer will carry on the business of Origination as Alpine Summit Energy Partners, Inc. and has applied for a listing on the TSX Venture Exchange (the Exchange ), with the ticker ALPS.V.
HOUSTON An elderly woman claims she suffered severe injuries after allegedly falling at her Houston apartment complex and striking her head on metal landscaping.
Linda Vandagrift filed a complaint Jan. 25 in Harris County District Court against Cortland Partners LLC, Lakefront Villas GP LLC, Lake Front Villages GP LLC frequently known as Newport On The Lake and others alleging negligence.
Vandagrift, who was 81 years old at the time, alleges in her complaint that on Feb. 8, 2019, while checking the mailbox at her apartment complex, she fell and landed forcibly on metal landscaping and struck her head.
Vandagrift claims she suffered severe and permanent injuries including the inability to do her ordinary tasks, disfigurement, pain and mental anguish as well as lost wages and medical bills. The nonprofit operator of addiction treatment centers paid $12 million for a 46-unit apartment complex near the Delray Beach Golf Club.
Caron Treatment Centers, based in Wernersville, Pennsylvania, bought the “Fairway on the Greens” apartments at 2045 Lowson Boulevard, according to records. The price equates to about $261,000 a unit.
The nonprofit is led by Doug Tieman. It has treatment centers and facilities in Pennsylvania, Florida, Georgia and Washington, D.C.
Caron has operated a residential addiction treatment program at the apartments since at least 2007, according to the Sun-Sentinel. Last year, Palm Beach County approved bonds of no more than $52.8 million for Caron to buy and renovate Fairway on the Greens, as well as construct a medical detox facility at 4675 West Linton Boulevard, according to records.
