(OTC PINK: HRST) (“Harvest” or the “Company”) today announced that on May 13, 2021 the Board of Directors (the “Board”) of the Company approved a liquidating distribution of $3.00 per share of the Company’s common stock, par value $0.01 per share, or $3,079,623.00 in the aggregate (the “Liquidating Distribution”), which will be paid on June 1, 2021 to stockholders of record as of May 24, 2021. The distribution is intended to be treated as a taxable liquidating distribution pursuant to the plan of distribution adopted on April 9, 2021 by the Board in accordance with Section 281(b) of the General Corporation Law of the State of Delaware (the “DGCL”).
