M&A deals come roaring back as executives plot post-COVID future

Global merger and acquisition activity clawed its way back from near-decade lows in 2020, facing down the COVID-19 pandemic with a string of large transactions in the second half of the year that dealmakers hope will continue.
Deal volumes are now down about six per cent for the year to US$3.5 trillion, according to data compiled by Bloomberg. Still, the fact that about two-thirds of those were inked since the start of July has advisers talking about a dramatic comeback, after the first half of 2020 froze M&A and sent North American deal activity down more than 50 per cent.

Smith & Wesson Sues NJ Over False Ad Subpoena
Law360 (December 15, 2020, 11:49 PM EST) Gunmaker Smith & Wesson sued New Jersey in federal court Tuesday, alleging that that state s October subpoena seeking evidence of consumer fraud relating to advertising is unconstitutional and that the state s hiring of Paul Weiss Rifkind Wharton & Garrison LLP shows ties to anti-Second Amendment Activists.
The subpoena is an unconstitutional fishing expedition seeking almost all of the company s advertising materials going back decades, the gunmaker said in its complaint. The subpoena from Garden State Attorney General Gurbir S. Grewal violates the First, Second, Fourth, Fifth, and Fourteenth Amendments to the U.S. Constitution, as well as the Protection of Lawful Commerce.

Shutterstock Boies Schiller Flexner (BSF) has named three new managing partners after co-managing partner Nicholas Gravante quit earlier this month to join Cadwalader Wickersham & Taft, rounding off a turbulent year for the high-profile New York-based litigation firm that has seen dozens of partners head for the exit. BSF has appointed Sigrid McCawley, Matthew Schwartz and Alan Vickery to the shared managing partner role, with Gravante’s previous co-managing partner, Natasha Harrison, promoted to deputy chair.

E-cigarette company Juul Labs, according to Docket Alarm’s database of court filings and analytics, has been involved as a party in at least 2,753 lawsuits since the beginning of 2019 through November 2020. In the large majority of those suits, about 95 percent, Juul is named as a defendant. The main cause of action for the cases, cited in at least 2,011 lawsuits, is Product Liability. Other case types include antitrust, intellectual property, and suits brought under the Racketeer Influenced and Corrupt Organizations Act.
The Allegations
The lawsuits in general claim that Juul’s marketing practices did not give the various plaintiffs sufficient information about the product to allow them to understand the harmful health effects using the company’s products, specifically e-cigarettes, would cause.
