Theo Nghị quyết của HĐQT FPT do Chủ tịch Trương Gia Bình ký ngày 01/02/2012, Công ty TNHH Bán lẻ FPT (FPT Retail) đã được chuyển đổi thành Công ty Cổ phần Bán lẻ Kỹ thuật số FPT để thực hiện đề án chuỗi bán lẻ của Tập đoàn.
Việc cổ phần hóa nhằm mục đích huy động nhiều cán bộ gắn kết lâu dài với định hướng phát triển chuỗi bán lẻ mà FPT mong muốn thực hiện bắt đầu từ năm 2012.

Theo kế hoạch, FPT Retail sẽ đầu tư 250 tỷ đồng cho chuỗi bán lẻ trong vòng 3 năm, kể từ 2012.
