July 2021: The Board of Directors and Management of Seplat Energy Plc today announces that Mr. Damian Dodo, SAN, and Lord
Mark Malloch-Brown, both Independent Non-Executive Directors ( INED ), have retired from the Board of the Company. Mr. Dodo, SAN was appointed to the Board in
March 2014 while
Lord Malloch-Brown was appointed in
February 2014. For the past seven years, both Directors diligently served the Board and made significant contributions towards the growth of the Company during their tenure.
Commenting on the retirement of the Directors, the Chairman of the Board remarked as follows:

•Gets shareholders’ nod on dividend payout, name change
Seplat Petroleum Development Company Plc has assured shareholders that the company is well-positioned to increase shareholders’ value on a sustainable basis, even as cash generated from its operations has exceeded the amount invested for future growth.
Reviewing its financials at the 8th yearly general meeting, the Chairman of Board, Dr. ABC Orjiako, said the company generated cash worth $318 million from its operations which is significantly more than the $150 million invested for future growth.
1. In view of the current COVID-19 pandemic, Seplat obtained approval from the Nigeria Corporate Affairs Commission to hold its 2021 Annual General Meeting (AGM) by proxy ONLY, which is in accordance with the new Guidelines on Holding of AGM of Public Companies taking advantage of Section 254 of the Companies and Allied Matters Act (CAMA) 2020 using proxies. For the appointment to be valid for the purposes of the Meeting, the Company made arrangements at its cost for the stamping of the duly completed proxy forms, which must be deposited at the office of the Registrar. 2. In accordance with the Company s articles of association, on a poll every member present in person or by proxy has one vote for every share held. There were no restrictions on shareholders to cast votes on any of the resolutions proposed at the AGM.
2020 Annual Report and Notice of AGM Seplat Petroleum Development Company Plc ( Seplat or the Company ) confirms it has today published its Annual Report and Accounts for the year ended 31 December 2020 together with the notice of the Company s eight Annual General Meeting ( AGM ) and forms of proxy. The Company will hold its AGM at 11:00am (local time) on Thursday 20 May 2021 at 16a Temple Road (Olu Holloway), Ikoyi, Lagos, Nigeria. In accordance with Listing Rule 14.3.6 copies of the Company s Annual Report and Accounts for the year ended 31 December 2020, the Notice of AGM and proxy forms have also been submitted to the FCA for publication through the document viewing facility of the National Storage Mechanism and will shortly be available for inspection at
