Esmark Inc. on Wednesday, Aug. 23, said it won’t make a takeover offer for U.S. Steel Corp., citing the United Steelworkers’ support for a rival $7.25 billion bid from Cleveland-Cliffs Inc.

In a letter sent by United Steelworkers to its members at United States Steel, the president of the labor group said the company doesnt prioritize its union workforce and accused it of betrayal.

U.S. Steel, which rejected Cliffs' $7.3 billion cash-and-stock offer as inadequate, had earlier said it was exploring "multiple unsolicited proposals". Under the Right to Bid provision of the labor agreement with the workers union, U.S. Steel must "promptly" notify USW and Cleveland-Cliffs if they receive a proposal from any third party, Cliffs' chief executive Lourenco Goncalves wrote in a letter to U.S. Steel.
