The two companies are in exclusive talks. Alex schurman helped to break this. Alex, lets start with you. What is the news that we know. We learned that oracle, which is a very acquisitive company. They are in exclusive companies to buy micros, which is a Software Manufacturer which makes software is for hotels, restaurants. The Hospitality Industry. If you have ever worked behind a desk or the front office, you are looking basically at a variety of Different Software vendors, one of them happens to be micros. A lot of it is in the cloud. They have some cloud applications but they are more of a Legacy Software company. This is something that oracle has tended to steal towards in recent years when they have not enabled to penetrate the cloud industry because of valuations are too high. Theyve been able to roll out some of these old legacy companies. We are hearing the price tag at five point 3 billion or so. Breadcrumbs. What is the connection between breadcrumbs and micros . It was my understanding that the retail space has come under a huge amount of pressure not only for retail bet any kind of software environment. When we founded breadcrumb, what we did is that we were looking at the space. We had a lot of experience in hospitality. Part of that was very frustrating built around these legacy systems which were heavily dominated by micros. It was hardware and software out of date and we thought we could do something that would innovate and improve the situation. We built a new platform and we sold it to groupon. The point that we made about oracles history acquiring things when they cannot penetrate into the cloud space is very interesting. It seems like an odd way to approach this new vertical for them. This is for their strategy going forward. As you want to distribute into more and more markets, your bar becomes higher when youre pinned to her resale network. This is built around system that is problematic software. That is part of the plan. I am interested in this idea of resellers. Oracle has a wide network of resellers. If you dont have the resellers in your back pocket. You cannot jettison them to go to the cloud. I was talking to someone a few minutes ago who has developed a point of sale cloudbased company. He said that this deal is not a good deal for the restaurant or Hospitality Industry in general because oracle, when they tend to sell you goods, will package in software that maybe you dont need. A more nimble cloudbased company will sell you obviously a more uptodate version of what would replace software for a much lower cost. The reseller question is interesting. It goes back to oracles relationships with a lot of companies out there. Where is the direction of this industry going . Are you going to the stuck in a situation where you have a longstanding relationship with oracle . Or, are you able to move towards a competitor and spend a lot less potentially on something that maybe gives you exactly what you need but not everything that you are currently buying. Can you use the analogy of the menu . You get to take all a cart, things you want, when you need them based on your own business experience. Salesforce. Com does that with customer relations. You necessarily dont want to have a fixed price menu. Maybe you dont want the desert, right . Their strategy is basically to say we want to buy our way into a new vertical. That will allow us access to that to sell other things like our crm technology and a whole range of database solutions, some of which are cloud or not cloud. I think that the businesses are looking for the flexibility to choose in an ad hoc fashion. To their credit, where micros has a good foothold and one that will be hard to penetrate for smaller competitors and for a newer crop of competitors is in this very large enterprise space. They need a lot of mobile infrastructure, the ability to push things from the top down and a very complicated structure. You will not see a shopkeeper or even a breadcrumb in touring that space for some time. What you will see is a lot of traction coming from these smaller players. It will put pressure on the bigger players to innovate or get pushed out of the way. As you move into new markets, say places in asia or africa, micros is seen opportunity but a lot of vendors are saying i can run a system on my ipad or i can run a new infrastructure with retailers and hardware over here. We further voted to integrate the company and provide actual annual manufacturing. The key thing about Panel Manufacturing is that you have to get a technology you can scale to be cost competitive. The technology we chose as high efficiency at a low cost. Eventually we will be able to install solar at a lower cost than fossil fuel. You will be making these solar panels in china. Why in china . We will be manufacturing these facilities currently planned in new york. I thought that the company that you are acquiring, doesnt it have production facilities in china . Yes, it has a 32 Megawatt Facility in china. What we are planning on building out, this is a gigawatt facility which makes it one the largest in the world. This is from new york. Beyond that, we will be building out more capacity in the tens of gigawatts size and that is the plan for the u. S. Why would you be building these facilities in the u. S. When they already exist largescale soli manufactures already are producing these panels for less cost than you can make them knew . That is not correct. We will be able to make high efficient models at a price at or below the standard efficiency model. The key things to know is that the energy cost is lower and we have high automation so that this is not as big a requirement and they dont have any transportation costs. There is massive working inventory from getting from china to the u. S. We dont have that cost. We will be doing this for less than . 36 per kilowatt . Will be focusing on the cost per watt and combined with our Operational Efficiency and hardware, you look to the entire value chain. Combined with the value chain that we have incorporated so far, we think it will have the lowest cost per install kilowatt hour in the world. That means you would then buy less of the current panels from your existing suppliers is you would be building them in the u. S. We definitely would building them in the u. S. If you look at our growth curve, our own manufacturing capacity will not be able to keep up. Our relationship with our existing partners will actually expand. We will end up buying more products than we have in the past. What is the current estimate for the price tag for this manufacturing facility . Acquisition itself was roughly 200 million initially, 166 or so in staff and about 34 in cash and assumed liabilities. The components are another hundred 50 million based on cost and volume targets. Together, it is 350 million. Where does the money come from to build these manufacturing facilities in the u. S. . We look at partnerships, the state helping to support that growth. We will have to raise initial capital. Is that something that you would do as a part of solar city or would that be a separate company . No, that would all be part of solarcity. Give us an update as to the installed base using the solar city model. If you look at the history of the company, we have continued to vertically integrate. We vertically integrated our installations. Then we vertically integrated our financing, then we integrated mounting hardware. This is the most competitive in the market space. This allowed us to increase our market share. This is vertical integration to reduce the cost of energy. Have you spoken to elon musk about this . Was very involved in this decision. It turns out into simple math. If you believe that at some point we have to get a fossil fuel. We cannot keep on burning fossil fuels. What are the steps that need to happen . If you assume that the goal is 40 by 2050, whatever number you want to put in place, then you work backwards. What is the capacity needed to achieve that or the cost target . In order to achieve that number, we would the industry would have to deploy 400 gigawatts year starting now. We are significantly behind. The only reason we are not at that capacity is because there is a structure we need to meet. As you ramp up manufacturing, you cross that cost curve. Once you cross that, it is essentially infinite. Is there a specific date at which that takes place . This occurs every single year in different markets. If you look at the u. S. , there are the multiple energy in every utility or state. California would be a good example. Is the first that we have crossed. The first step we have to achieve is to provide the same solution with a 10 federal tax credit instead of 30 .
