【財華社訊】創興銀行(01111.HK)公佈，根據早前公告，内容有關越秀企業(集團)有限公司(要約人)建議根據公司條例第673條以協議安排方式將該公司私有化；延遲寄發計劃文件；公司有關證券數目的最新資料；建議及計劃的狀況及進展之月度更新；就寄發有關建議之綜合計劃文件之最新情況；及有關建議、計劃及股份獎勵要約。
計劃文件連同將於2021年8月30日(星期一)舉行之法院會議及股東特别大會之通告及相關代表委任書，將於2021年7月30日(星期五)寄發予股東及持有尚未行使股份獎勵的人，而就股份獎勵要約而言，股份獎勵要約函件連同接納表格將於以上日期寄發予持有尚未行使股份獎勵的人。
計劃文件載有(a)建議、計劃及股份獎勵要約之進一步詳情；(b)計劃之說明函件；(c)有關建議、計劃及股份獎勵要約之預期時間表；(d)獨立董事委員會函件，當中載有其就建議、計劃及股份獎勵要約向獨立計劃股東及持有尚未行使股份獎勵的人提供之推薦建議；(e)獨立財務顧問之意見函件，當中載有其就建議及股份獎勵要約向獨立董事委員會提供之意見；及(f)法院會議及股東特别大會通告(包括供相關股東於有關會議上適用之代表委任書)。
新百利融資有限公司於計劃文件所載之獨立財務顧問函件中表示，其認為建議及股份獎勵要約之條款分别就計劃股東及尚未行使股份獎勵持有人而言屬公平合理，並建議獨立董事委員會推薦(i)獨立計劃股東投票贊成將於法院會議上提呈批準計劃之決議案；(ii)全體股東投票贊成將於股東特别大會上提呈批準並落實計劃之相關決議案；及(iii)尚未行使股份獎勵持有人接納股份獎勵要約。
獨立董事委員會經考慮建議、計劃及股份獎勵要約之條款，並計及獨立財務顧問之意見，尤其是其函件所載之因素、理由及推薦建議後，認為建議、計劃及股份獎勵要約之條款就獨立計劃股東及持有尚未行使股份獎勵的人而言屬公平合理。因此，獨立董事委員會建議獨立計劃股東投票贊成將於法院會議上提呈批準計劃之決議案及將於股東特别大會上提呈批準並落實計劃及尚未行使股份獎勵持有人接納股份獎勵要約之相關決議案。
法院會議及股東特别大會分别訂於2021年8月30日(星期一)上午10時正及上午10時30分(或如較遲舉行，緊隨法院會議結束或休會後於同日及同一地點)假座香港德輔道中二十四號創興銀行中心13樓、27樓及╱或28樓(於27樓進行登記)舉行。法院已指示召開法院會議，以考慮及酌情批準計劃(不論有否修訂)。
假設所有條件獲達成或(如適用)獲豁免，計劃將於生效日期(預期為2021年9月27日(星期一))生效，而根據上市規則第6.15(2)條，股份預期將於2021年9月30日(星期四)下午4時正撤銷於聯交所之上市地位。倘所有決議案於法院會議及股東特别大會上獲通過，公司及要約人將根據收購守則及上市規則之規定就(其中包括)法院批準計劃之呈請聆訊結果、生效日期及撤銷股份於聯交所上市地位之日期另行刊發公告。
