Timberline Resources Corporation (OTCQB:TLRS; TSX-V:TBR) ("Timberline" or the "Company") announced that it has filed with the TSX Venture Exchange for approval of a non-brokered private placement of up to US$6,000,000 in units of the Company at a price of US$0.20 per unit solely to persons or institutions who qualify as accredited investors (the "Offering") under Rule 506(b) of Regulation D promulgated by the SEC under the Securities Act of 1933, as amended (the "Securities Act"). The Offering is subject to approval by the TSX Venture Exchange.
