이마트, 이베이코리아 지분 80% 인수 계약... 잔여지분 콜옵션도 포함 종속회사 (주)에메랄드에스피브이 통해 3.4조원 출자 이베이코리아 자료사진ⓒ뉴스1 신세계 이마트(이마트)가 이베이 본사와 이베이코리아 인수를 위한 주식매매계약을 체결했다. 이마트는 종속회사 (주)에메랄드에스피브이를 통해 이베이코리아 지분 80.01%를 취득하는 ‘지분 양수도 계약(SPA)’을 체결했다고 30일 공시했다. 이번 계약은 에메랄드에스피브이가 이베이코리아에 3조4,404억여원을 출자해 지분을 취득하는 방식으로 이뤄졌다. 에메랄드에스피브이는 이마트가 지난달 18일 신동우 이마트 전략기획본부장(상무)을 대표이사로 하는 특수목적법인이다. 공시에 따르면 이마트는 이번 SPA를 체결하면서 계약 내용에 ‘지분 취득일 이후 일정 기간 동안 매도인이 보유할 이베이코리아 잔여지분 19.99%에 대한 콜옵션을 가진다’는 조항을 추가했다. 사실상 이마트가 원할 경우 이베이코리아 지분 100%를 확보할 수도 있도록 한 것이다. 다만 구체적인 내용은 이베이코리아 지분 80.01%에 대한 인수 거래 종결일이나 그 이전에 확정한다는 계획이다.
