Glazer Capital Urges QEP Shareholders To Vote Against Acquisition Of QEP By Diamondback
OTTAWA (dpa-AFX) - Glazer Capital LLC, which beneficially own about 5.7% of the outstanding shares of QEP Resources Inc. (QEP), issued an open letter to fellow shareholders of QEP, urging them to vote against proposed acquisition of QEP by Diamondback Energy Inc. (FANG) at the special meeting of QEP stockholders. The special meeting is scheduled to be held on March 16, 2021.
Glazer s letter stated the merger consideration of 0.05 shares of Diamondback per QEP share is materially inadequate and the proposed acquisition would prevent shareholders of QEP from realizing the benefits of the recent surge in small cap exploration and production company valuations. ....

(Reuters) - QEP Resources Inc shareholder Glazer Capital LLC on Tuesday rejected Diamondback Energy’s proposed acquisition of QEP, calling the deal value “materially inadequate.”
Glazer Capital, which owns about 5.7% of QEP’s outstanding shares, said it will reject the proposed acquisition at the special meeting next week and urged QEP shareholders to do the same.

(Reuters) - One of the top five shareholders in QEP Resources Inc plans to vote against its pending acquisition by Diamondback Energy Inc, saying a recent oil price rally makes the firm more valuable than the deal struck in December.
The Denver-based exploration and production company agreed to sell itself in an all-stock transaction which would exchange 0.05 shares of Diamondback common stock for each of its shares, equivalent to $2.29 per QEP share.
At the time, the deal valued QEP at $2.2 billion, inclusive of $1.6 billion of debt which Diamondback would assume.
However, in a Tuesday statement, Glazer Capital said it would vote against approving the acquisition at a shareholder meeting scheduled for March 16, and urged others to do likewise. ....
