On Jan. 22, 2024, the Federal Trade Commission (FTC) approved publication of a notice in the Federal Register that (i) revises the premerger notification thresholds for mergers and acquisitions under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (HSR Act), and (ii), pursuant to the Merger Filing Fee Modernization Act of 2022 (Fee Modernization Act), revises upward the filing fee tiers and fees within each tier, both of which were first instituted in 2023.
