Motif Bio PLC - AIM-listed cash shell - Enters into a stock purchase agreement with Orange Avenue Technologies LLC, to which Orange has acquired 100% of the outstanding shares of Motif Inc from Motif with immediate effect. Orange is wholly owned by John Palmer, president of Tamarack Associates Inc - the company which was engaged by Motif to facilitate the sale of iclaprim and other assets of Motif Inc in January 2020. Motif remains suspended from trading while the proposed transaction is being negotiated and advanced. The transaction is an important step to prepare Motif to complete the reverse takeover. Applegreen PLC - operator of petrol stations and motorway stops in Ireland - EUR718.1 million takeover by the Causeway Consortium Ltd gets shareholder approval. Causeway Consortium is owned by Blackstone Infrastructure Partners managed by Blackstone Group Inc, and B&J Holdings Ltd. B&J, in turn, is wholly owned by Applegreen founders Robert Etchingham and Joseph Barrett, and already owns 41% of Applegreen. B&J class shareholders, as well as non-B&J class Applegreen shareholders, vote in favour of the buy.

€718.1m deal agreed for Applegreen

A deal has been agreed for the acquisition of Applegreen valuing the motorway services and petrol filling stations operator at €718.1m (£652.8m).
Applegreen has a major presence in the Republic of Ireland, the UK and the US. In the UK, the business predominantly operates through its majority owned subsidiary, Welcome Break, which is one of the UK s largest motorway service operators with 34 sites on the motorway network.
Earlier this month (December 2020), Applegreen confirmed it was in talks over a potential acquisition by a consortium comprising B&J Holdings and Blackstone Infrastructure Partners.
The consortium, Causeway Consortium Ltd, has now reached an agreement with the independent directors of Applegreen on the terms of a cash offer of €5.75 per share. ....
