Private Placement ") for aggregate gross proceeds of up to $3,500,000 consisting of a combination of: (i) units of the Company (the "
Units ") at a price of $0.27 per Unit and (ii) flow-through common shares of the Company (within the meaning of the Income Tax Act (Canada) (each a "
FT Share ") at a price of $0.30 per FT Share.
