深圳證監局首對私募機構負責人採取市場禁入措施-香港商報

　近日，深圳證監局依法對深圳前海匯能金融控股集團有限公司（以下簡稱前海匯能或公司）兩名主要負責人，採取終身證券市場禁入措施。這是深圳證監局首次在私募領域採取的市場禁入措施，也是對嚴重違法違規私募機構責任人員從嚴從重懲戒的典型案例。
　據了解，前海匯能是註冊地在深圳的其他類私募基金管理人，公司兩名主要負責人徐某、康某系夫妻關係，先後擔任公司法定代表人、執行董事、總經理。在兩人擔任公司負責人期間，公司存在發行私募基金未在中國證券投資基金業協會辦理備案手續、向非合格投資者募集資金、向投資者承諾本金不受損失或者承諾最低收益、挪用基金財產等違規行為，也涉嫌違法犯罪行為，涉案金額特別巨大，涉及投資者人數眾多，嚴重擾亂了證券市場秩序並造成了惡劣的社會影響。此前深圳證監局已對徐某、康某依法採取警告、罰款等行政處罰，並已將公司涉嫌犯罪的線索移送至深圳公安部門。結合徐某、康某違法違規情況和情節，在履行事先告知、聽證等法定程序後，深圳證監局於近日對兩人採取了終身證券市場禁入措施。
　根據公安機關的案情通報，深圳市公安局福田分局已於2019年4月26日對前海匯能涉嫌非法吸收公眾存款案立案偵查，依法陸續對徐某、康某等十餘人採取刑事強制措施，查封、凍結有關涉案資產。深圳市人民檢察院已對犯罪嫌疑人徐某、康某等人提起公訴，案件已進入法院審理程序。在法院公開庭審過程中，深圳證監局還組織了30餘名「爆雷」私募機構負責人旁聽，警示違法違規經營後果。
　深圳證監局鄭重提示提醒廣大投資者，根據《中華人民共和國證券投資基金法》《私募投資基金監督管理暫行辦法》有關規定，私募基金只向合格投資者募集，不得承諾投資本金不受損失或者承諾最低收益；私募基金不得通過公開方式進行宣傳推介，請對通過短訊、微信、電話、互聯網等方式宣傳推介的行為保持高度警惕；謹記私募基金管理人不是持牌金融機構，中國證券投資基金業協會為私募基金管理人和私募基金辦理登記備案不構成對私募基金管理人投資管理能力、持續合規情況的認可，不作為對基金資產安全的保證。請廣大投資者進行私募基金投資時，務必提高警惕，謹慎判斷，識別風險，理性投資，以免上當受騙。
